We received with thanks your comments to the draft.
Accordingly, attached please find is a revised Term Sheet, after we accepted some of your changes and responded inside (highlighted blue) to all of your other comments.

As a general comment we would like to note that certain issues you mentioned can/should be left for further elaboration under the definitive agreement and does not need to be dealt with at this stage, within this relatively simple, non-binding Term Sheet. We should have plenty of room to make such refining later and we will make sure that all required issues shall be covered properly in such definitive agreements.

Also, please note that the definitive agreement will include an amended articles for the Company which will be adopted in their English version and allow you eventually to review and comment them, as much as needed.

In light of the above, at this stage, Ehud instructed me to prepare a clean version, based on the attached, to be furnished to the other side.
